JOB PURPOSE

To provide and effectively support the Company Secretariat and Governance unit by ensuring that compliance with statutory obligations , most notably those prescribed under the Companies act are met and manage discrete tasks involving legal matters to support the department.

KEY ACCOUNTABILITIES

Supporting Activities (“HOW”) (What are the key activities undertaken to achieve the desired end results?
Ensure corporate proper accurate Records are maintained

· Ensuring that up to date statutory and other records are maintained.
.
· Documents which are required to be filed by law must be filed on a timely and accurate basis in accordance with the relevant legislation

· Draft minutes and other Legal documentation maintain accurate records and archives of
Documentation within the Company.


Corporate secretarial matters.

· Deal with queries and requests from shareholders; monitor shareholder communications through and maintain proper records.
· Prepare and collate documentation for Board Pack/Board Meeting.
· Monitor developments in company secretarial practice and related areas of the law, and,
· Preparation of documents or forms for certification by the company Secretary and shareholders
· To assist in enhancing work-flows and systems of the secretarial department
· Any other duties as and when assigned from time to time.

Compliance

· To assist in the implementation of the Company’s business ethics and compliance program
· To assist in ensuring that all areas of the business are aware of the code of ethics and regulations.

SKILLS & KNOWLEDGE

Educational Qualifications & Functional / Technical Skills

· Bachelor of Laws (LLB);
· Call to the Nigerian Bar (BL);
· Master of Laws (LLM) degree may be an added advantage

Relevant Experience (Type of experience and minimum number of years)

* 3-5 years experience in handling company law/commercial -related legal matters.
* Candidate must have up-to-date knowledge of
o Company law and Company Secretarial practice
o Governance and Compliance practice;
o Corporate and Commercial law;
o Telecommunications industry structure and business models
o office routines and company administrative procedures

JOB PURPOSE
To review and effectively implement the entry into commercial contracts by advising on contracts related points of law, managing discrete tasks involving legal matters to support the department.

Supporting Activities
Ensure corporate all commercial transactions agreements are drafted and processed within the Quality and Time Standards agreed with the respective business units of the Company.

1. Familiarize self with provisions of the Company DOA and relevant policies on Contract Documentation
2. Check and ensure that instructions to prepare contracts are well documented by User Groups and approved in line with the provisions of Company DOA
3. Ensure that the set timelines and standards are adhered to
4. source proper form of documentation for each type of transaction
5. ensure that drafted document covers all issues and adequately protects the Company’s interests

Supporting the Department in respect of Company’s corporate & commercial matters including Intellectual Property matters

1. obtain proper instructions for registration of intellectual property from the relevant User Group
2. Immediately take steps to register same marks requiring registration
3. Follow up with the Regulatory bodies to ensure that all queries raised in the registration process are addressed and cleared
4. Flag any breach of the Company’s Intellectual Property rights and take steps to reprimand perpetrator in accordance with the legal provisions

Liaise with external counsel

1. ensure that proper instructions are obtained from the internal User Group that requires the external legal services
2. spell out the company’s objective for each brief to the external advisors and agree delivery timelines and costs which must be within budget
3. monitor delivery and ensure that expected standards are met
4. review the advice provided by external counsel to ensure that solutions are provided or collaborate with external advisor until a solution is proffered
5. Escalate matters to manager on a regular basis as required


SKILLS & KNOWLEDGE

Basic Purpose:
Responsible for implementing and maintaining the group policies in Airtel Africa and be the single point of contact for all the treasury spocs at various countries for taking various day to day operational matters i..e Liaise with banks, Meeting repayments schedule, covenants & documentation requirements etc , Management of Cash Flow of the Company, Ensure full regulatory compliance on all treasury related matters, adherence to various policies and procedures defined.
Working under directions from Group Treasury , for strategic work streams and projects including debt management, liquidity management, investment of surplus and managing currency risks and reporting on various matters /MIS etc
Main Duties & Responsibilities:
Assures the achievement of agreed sales and revenue targets through distributors
Responsible for implementing & maintaining group treasury function & policies for Airtel Africa
Working with Group Treasurer for procurement of funds, investment of surplus and managing currency risks
Management of Cash Flow of the Company
Arranging Funds as per discussions with the Group Treasury and meeting repayments schedules, covenants & documentation requirements etc
Liaise with the banks for various matters related to the respective countries
Forex & Risk Management as per policies and procedures defined by Corporate Office
Setting up the Cash Management System and EBS system for the Airtel Africa operations
Ensure full regulatory compliance on all treasury related matters
Reporting on various matters to the Coporate office as per defined reports and MIS etc

Competencies & Qualifications:
Qualifications
Having 10 – 12 years of experience in a management role with a large organization (prior experience with a telecommunications organization is preferred)
Strong hands on experience of at least 5 – 8 years in Treasury functions
Good banking understanding and Loan & credit documentation.
CPA / MBA / CA/Post Graduate or equivalent degree in Accounting & Finances
