Chief Legal Counsel
Position title: Chief Legal Counsel

Objectives
Duties and responsibilities

The Chief Legal Counsel is the team leader of the Administrative Affairs Section, and assists the Division Manager in co¬ordinating and supervising the work of the section; She/he may be required to deputize in the absence of the Division Manager. She/he will:

* Draft and finalize Board documents on institutional governance;
* Revise principal Bank instruments (Staff Regulations, Staff Rules) for Board approval;
* Prepare pleadings and briefs, and represent the Bank before the Staff Appeals Committee and the Administrative Tribunal;
* Draft and finalize service contracts between the Bank and contractors, consultants and suppliers;
* Advise on applicability and interpretation of Bank Rules and Regulations;
* Advise on scope and application of Bank’s privileges, exemptions and immunities;
* Draft and finalize Board resolutions on administrative matters;
* Draft and negotiate legal instruments of cooperating with bilateral and multilateral partners;
* Advise on matters related to the Staff Retirement Plan;
* Render legal opinions and advise on personnel matters;
* Participate in meetings with respect to evaluation of bids for the acquisition of goods and services;
* Undertake missions to other international organizations to pursue institution building work;
* Undertake such other assignments as are required in the absence of the Division Manager.

Selection Criteria

Including desirable skills, knowledge and experience

* At least a Master’s degree in Law, plus admission to the Bar of (or diploma to practice law in) a member country; or a first university degree plus a relevant combination of academic qualification in law e.g. Juris Doctor (JD) plus admission to the Bar of (or diploma to practice law in) a member country;
* Preferably a minimum of seven (7) years of relevant experience, preferably with an international organization or established law firm with proven administrative experience;
* Competence in Administrative Law and International Law;
* Competence in the use of standard software applications;
* Ability to communicate and write effectively in English and/or French with good working knowledge of the other language.

Objectives
Duties and responsibilities

* The Chief Legal Counsel is the team leader of the Finance Section, and assists the Division Manager in coordinating and supervising the work of the section; she/he may be requested to deputise in the absence of the Division Manager. She/he will:
* Prepare all necessary documentation for the Bank’s borrowings in the international capital and money markets;
* Review, update and recommend for approval standard documentation, in accordance with market and industry practice, for use in derivative transactions;
* Negotiate with investment banking and corporate legal specialists to structure documentation for the Bank’s debt issues;
* Review, revise and recommend for approval global clearing, custody, execution and repurchase agreements to facilitate the Bank’s investment and risk management;
* Prepare draft, contracts for use and procurement of consulting and professional services, as well as intellectual, technical and other products;
* Propose and design appropriate amendments to the Bank Agreement and other governing instruments, such as the financial regulations;
* Provide legal advice and assistance through the Division Manager to the Bank and its operating organs on all matters of finance, investments and reporting obligations to internal and external authorities;
* Assist the Division Manager in the selection of local counsel to represent the interests of the Bank;
* At the request of the Division Manager or in his absence, participate in meetings with Vice President, Finance and with Directors in the Finance complex on finance issues in the Bank;
* Prepare draft Legal Opinions for approval by Supervisors on Management proposals for the Bank’s Financial Operations.
